By accessing or using Chord Edit, you agree to be bound by these Terms & Conditions and our Privacy Policy.
- These terms form a binding agreement between you and the provider of Chord Edit.
- If you do not agree, do not access or use the service.
- Additional terms may apply to certain features; in case of conflict, those additional terms control for that feature.
2. Eligibility
You must be able to form a binding contract and comply with applicable laws to use the service.
- You represent that you have the legal capacity and authority to agree to these terms.
- You may not use the service where prohibited by applicable law or sanctions.
- Organization accounts must be created and administered by authorized representatives.
3. Accounts and Security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
- Provide accurate, current, and complete account information and keep it updated.
- Do not share your credentials; enable multi‑factor authentication where available.
- We may suspend access if we detect suspicious activity or security risks.
4. Acceptable Use
Do not misuse the service, attempt to disrupt it, reverse engineer, violate laws, or infringe others’ rights. We may suspend or terminate accounts for violations.
- No unauthorized access, data scraping beyond permitted APIs, or circumvention of technical controls.
- No content that is unlawful, harassing, defamatory, obscene, or infringing.
- Respect rate limits and fair use guidelines; excessive automated requests are prohibited.
- Do not upload malware or attempt to probe, scan, or test the vulnerability of the service.
5. User Content & License
You retain ownership of your content. You grant us a worldwide, non‑exclusive license to host, process, and display your content solely to operate and improve Chord Edit.
- You must have all rights necessary to upload and process the content you submit.
- We may generate aggregated and de‑identified usage statistics that do not identify you or your content.
- You are responsible for securing backups of your content unless otherwise agreed in writing.
6. Intellectual Property
Chord Edit and its materials are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or create derivative works of the service.
- All rights, title, and interest in and to the service are reserved by us.
- Logos, trademarks, and brand elements of Chord Edit may not be used without prior written permission.
7. Payments, Subscriptions, and Taxes
Paid features are billed per your selected plan. Prices may change with notice. Applicable taxes may be charged based on your billing information.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Promotional credits or discounts may be subject to additional terms and may not be redeemed for cash.
- Failure to pay may result in suspension or termination of access.
8. Cancellations, Downgrades, and Refunds
You can cancel at any time via your billing portal. Changes take effect at the end of the current billing period. Unless required by law, fees are non‑refundable.
- Downgrades may reduce or remove features and may take effect on the next billing cycle.
- We do not provide refunds for partial periods of service.
9. Service Availability
We strive for continuous availability but do not guarantee uptime. We may modify or discontinue features at any time with reasonable notice when practical.
- Planned maintenance or updates may result in temporary unavailability.
- We are not responsible for delays or failures caused by events beyond our reasonable control.
10. Third‑Party Services
The service may integrate third‑party products. Your use of them is subject to their own terms and privacy policies.
- Examples include authentication providers, payment processors, and hosting providers.
- We are not responsible for third‑party services and disclaim liability arising from their acts or omissions.
11. Beta and Experimental Features
Certain features may be labeled beta and provided "as is" with no warranties and may change or be discontinued at any time.
- Beta features may not be stable and may adversely affect your workflows; use with caution.
- We may collect feedback to improve such features; you grant us permission to use that feedback without restriction.
12. Disclaimers
Chord Edit is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
- No warranties of merchantability, fitness for a particular purpose, or non‑infringement.
- We do not warrant that the service will be uninterrupted, secure, or error‑free.
13. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, or data.
In no event will our aggregate liability exceed the amounts paid by you for the service during the three (3) months preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising from your use of the service or violation of these terms.
- Includes claims related to your content, breach of these terms, or violation of law or third‑party rights.
15. Changes to the Terms
We may update these terms. Continued use after changes become effective constitutes acceptance of the updated terms.
- We will provide notice of material changes by posting in‑app or via email when practical.
16. Governing Law
These terms are governed by the laws applicable at our principal place of business, without regard to conflict of law principles. Venue and jurisdiction will be as permitted by those laws.
17. Severability
If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
- No waiver of any term will be deemed a further or continuing waiver of such term or any other term.
